Licensing Agreement
By purchasing a Software Product from this Website, you agree to be bound by the terms of the Licensing Agreement for the Software Product, in addition to the Terms of Use for the Website.
Software Product Definition: For the purposes of this Agreement, "Software Product" refers to VBA (Visual Basic for Applications) code packages sold on this Website that, when properly installed and utilized, automate specific processes in the user's software environment. These products may include, but are not limited to, scripts, macros, add-ins, modules, or any other kind of VBA-based programming package or algorithm.
Licensing Agreement Clause: Upon purchase of a Software Product from this Website, the user ("Licensee") is granted a non-exclusive, non-transferable license to use the Software Product under the terms and conditions stipulated in the Software Licensing Agreement. The Licensing Agreement includes, but is not limited to, terms regarding the use, reproduction, modification, distribution, and reverse-engineering of the Software Product. By purchasing, downloading, installing, or using the Software Product, the Licensee acknowledges that they have read, understood, and agreed to comply with the terms of the Licensing Agreement.
Grant of License: Subject to the terms of this Agreement, ICRS Consult hereby grants to Licensee, a non-exclusive, non-transferable, revocable, and non-perpetual right to use the Software. This license is valid for use by the original purchaser only, and is not transferable to third parties without the prior written consent of ICRS Consult. This license will terminate automatically if Licensee fails to comply with the terms of this Agreement.
Restrictions: The Licensee shall not sell, resell, rent, lease, loan, or otherwise distribute the Software. Further, the Licensee shall not reverse engineer, decompile, or disassemble the Software.
Ownership: All rights, title, and interest in and to the Software, including associated intellectual property rights, are, and shall remain, the property of ICRS Consult.
Warranty and Liability: The Software is provided "as is" without warranty of any kind, either expressed or implied, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose. ICRS Consult shall not be liable for any damages suffered by the Licensee as a result of using the Software.
Termination: This Agreement shall continue until the Licensee stops using the Software or until ICRS Consult terminates this Agreement after notice to the Licensee, or automatically, if Licensee fails to comply with this Agreement.
Miscellaneous: This Agreement constitutes the entire understanding between the parties relating to the subject matter hereof.
Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates, without giving effect to any principles of conflicts of law. You further submit to the exclusive jurisdiction of the courts of Dubai for any dispute arising from or in connection with the Site. If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.
Updates and Amendments: This Agreement may be revised from time to time by updating this posting. You are bound by any such revisions and should therefore periodically visit this page to review the then current Licensing Agreement to which you are bound.
